Overview:

The Legal and Secretarial Compliance Manager will be responsible for overseeing the organization’s legal affairs, ensuring compliance with applicable laws and regulations, and managing legal risk across the hospital’s operations. This role supports the leadership team in governance matters, statutory compliance, and risk mitigation.

Key Responsibilities:
  • Contract Management
    • Draft, review, and negotiate contracts, agreements, and MOUs with third parties including vendors, partners, and service providers.
    • Vet and provide legal review of contracts, agreements, and MOUs with third parties including vendors, partners, consultants, and service providers to ensure legal compliance and risk mitigation.
    • Advise on legal terms, obligations, and associated risks before contract execution.
    • Ensure that contract clauses comply with applicable laws, organizational policies, and industry best practices.
    • Maintain a centralized contract repository and ensure timely renewals and compliance with contractual obligations.
  • Corporate Governance
    • Support in implementing governance frameworks, maintain statutory registers and records.
    • Risk Management
    • Identify legal and regulatory risks and propose mitigation strategies.
    • Develop and implement risk management policies and protocols.
  • Litigation Management
    • Manage and oversee all legal disputes, litigation, and arbitration.
    • Liaise with external counsel and coordinate litigation strategy and documentation.
  • Intellectual Property (IP) Management
    • Ensure proper protection of the hospital’s intellectual property, including trademarks, copyrights, and patents.
    • Manage IP registrations, renewals, and enforcement actions.
  • Regulatory Compliance
    • Monitor & ensure compliance with all applicable / relevant statutory requirements for healthcare settings.
    • Interface with regulatory authorities and coordinate licensing, audits, and inspections.
    • Review and update hospital policies to reflect changes in statutory requirements.
  • Labour Laws
    • Ensure compliance with employment laws and labour regulations.
    • Review employment contracts and address employee-related legal issues.
  • Secretarial Compliance  
    • Ensure compliance with societies  Act  
    • Oversee legal aspect of corporate governance including board and committee meetings and regulatory filings
    • Keeping accurate and up to date statutory register and records like register of charge , register of members , directors
    • Keeping record of the necessary
    • Support in maintaining secretarial records and liaise with company secretaries and legal consultants.
Qualifications:
  • LLB/ LLM and CS 
  • Minimum 6-8 years of experience in legal & compliance in a hospital setting
  • Strong knowledge of hospital statutes, labour laws, etc
  • Excellent drafting skills.
  • Strong communication and interpersonal skills.
